HOLIDAY KICK START Video Contest Official Rules

NO PURCHASE NECESSARY

1. DESCRIPTION OF THE CONTEST: The Holiday Kick Start Video Contest ("Contest") is designed to give Entrants ("Entrants") the opportunity to submit videos of their high leg kick(s) and dance move(s), reminiscent of the Radio City Rockettes' high leg kick. The Prizes will be awarded to the Entrants who submit the best entries as determined by the judges in accordance with these Official Rules.

2. ELIGIBILITY: This Contest is open only to residents of the fifty United States and the District of Columbia and Canada (except the province of Quebec) who have reached the age of majority in their jurisdiction of residence. Void in the province of Quebec and where prohibited by law. The following individuals are not eligible: (a) employees of Sponsor, Madison Square Garden, L.P. ("MSG") and each of their parent companies, affiliates and subsidiaries; and (b) members of the immediate family of a person in (a) and/or those living in the same household as a person in (a).

3. HOW TO ENTER: This Contest begins at 12:01am CST on September 14, 2009 and ends at 11:59 pm CST on October 21, 2009 ("Contest Period"). To enter, go to www.HGIKickstart.com (the "Site") and follow the onscreen instructions. Entrants will be invited to post to the Site a video of their leg kick(s) and dance move(s) which is reminiscent of the Radio City Rockette's famous high leg kick ("Submission"). Submissions can be serious or humorous, but should be creative and original. Submissions must be submitted during the Contest Period. Sponsor's clock is the official clock for the Contest. Sponsor or its designated representatives reserve the right to remove any Submission that does not conform to these Official Rules or the Site Usage Agreement as determined by Sponsor in its sole discretion. Sponsor will not notify Entrant whether the Submission has been removed. Limit five (5) different Submissions per person per email during the Contest Period. One person may not upload the same Submission more than once. Submissions from the same person or email address in excess of the stated limit will be disqualified. Retain a copy of your Submission in its original format after uploading it to the Site. If you are a winner, you will need to provide Sponsor with your Submission in its original format. Failure to do so may result in disqualification, and the selection of an alternate winner. By entering the Contest, Entrants understand that all Submissions may be posted on the Site for viewing by the general public and possible voting by the general public if selected as a Finalist and otherwise used by Sponsor and its designees as otherwise set forth herein. Sponsor does not guarantee the posting of any Submission and reserves the right not to post a Submission for any or no reason.

4. SUBMISSION REQUIREMENTS: Each Submission must include a leg kick or leg kicks, reminiscent of the Radio City Rockettes' famous leg kick. The leg kick(s) can be accomplished by the Entrant him/herself, the Entrant's child, an animal, or group of people. Submissions may be funny or serious. Each Submission must also comply with the following:

  1. Each Submission must not exceed 30 seconds in length.
  2. The maximum file size of each Submission must not exceed 100MB.
  3. Each Submission must be provided in one of the following formats: AVI, MOV, WMV, MP4, MPEG, FLV, 3GP, and 3G2
  4. The Submission must be your own original work, created solely by you; must not have been previously published, released or distributed in any form; must not have won any award; and must not infringe the copyright, trademark, privacy, publicity, or other personal or proprietary rights of any person or entity.
  5. The only music permitted in the Submission is one of the five (5) songs listed on the Site as "Permitted Submission Songs." Other than the Permitted Submission Songs, the Submission must not contain any other music.
  6. The Submission must not contain or reference any names, products or services of any company or entity or any third party trademarks, logos, trade dress or promotion of any brand, product or service.
  7. If any persons appear or are referred to in the Submission, you are solely responsible for obtaining, prior to submitting your video, any and all releases and consents necessary to permit the exhibition and use of the Submission by Sponsor in accordance with these Official Rules. If any person appearing in any Submission is under the age of majority in their state of residence, the signature of a parent or legal guardian is required on each release.
  8. Submissions that are lewd, obscene, sexually explicit, pornographic, disparaging, defamatory, libelous, or Submissions that otherwise contain inappropriate content or objectionable material may not be submitted and may be removed at any time in Sponsor's sole and unfettered discretion.
  9. The Submission must not contain any personally identifiable information of any person other than yourself. Should you include personally identifiable information about yourself in your Submission, you acknowledge and agree that such information will be disclosed publicly and you are solely responsible for any consequences thereof.
  10. You may not be, nor may you work with parties in conjunction with your Submission who are: 1) represented under contract (e.g., by a talent agent or manager) that would limit or impair Sponsor's ability to display your Submission in any media form; 2) subject to an acting or modeling contract that would make your/their appearance in the Submission a violation of any third-party rights; or 3) under any other contractual relationship, including but not limited to guild and/or union memberships, that may prevent Sponsor from being able to use the Submissions worldwide in all media in perpetuity on a royalty-free basis, without any payment or fee obligations.

Sponsor reserves the right in its sole and unfettered discretion to disqualify any Submission that it believes violates or potentially violates any of the foregoing requirements or otherwise fails to comply with any provision of these Official Rules or the Site Usage Agreement for the Site. The decisions of Sponsor on this and all matters pertaining to the Contest shall be final and binding.

Entrants agree to indemnify and hold Sponsor harmless from and against any suits, claims, losses, damages and expenses, including reasonable attorney fees, that it may sustain from any breach of a representation or warranty made by the Entrant or the use of any rights granted by the Entrant to Sponsor hereunder.

5. FINALISTS SELECTION: A panel of judges will select ten (10) finalists (the "Finalists") by October 25, 2009 based on the following categories: (A) 1/3 creativity; (B) 1/3 originality; and (C) 1/3 appropriateness to theme. The Submissions of the Finalists will then be posted on the Site for five (5) days for the public to vote on their favorite video submission. If, in the sole discretion of the judges, fewer than 10 Submissions are of sufficient merit as to qualify as Finalists, fewer than 10 may be selected. Entrants will be notified if they were selected as a Finalist by email.

6. PUBLIC VOTING: Consumers who are legal US or Canadian residents of at least 18 years of age (excluding residents of the province of Quebec) can vote on the Finalist Submissions posted at the Site by following the onscreen voting instructions between 12:01am CST on October 26 and 5:00pm CST on October 30, 2009 (the "Voting Period"). At the conclusion of the Voting Period, the Finalist with the most number of votes during the Voting Period is the Grand Prize winner. The remaining 9 Finalists are First Prize winners. Voters must not vote for any Submission more than once per day. Any attempts by any voter to cast more votes than permitted will be disqualified and all votes cast by that voter will be deemed void. In the event of a tie, the judges will break the tie according to the judging criteria mentioned above. Sponsor's decisions regarding all aspects of the voting are final and binding. Unless specified as Grand Prize winner or First Prize winners, both shall be collectively referred to herein as the "Winners."

7. PRIZES AND APPROXIMATE RETAIL VALUE: The Holiday Kick Start Video Contest ("Contest") is designed to give Entrants ("Entrants") the opportunity to submit videos of their high leg kick(s) and dance move(s), reminiscent of the Radio City Rockettes' high leg kick. The Prizes will be awarded to the Entrants who submit the best entries as determined by the judges in accordance with these Official Rules.

  1. One (1) Grand Prize winner will win a 5-day/4-night trip for winner and three (3) guests to New York City to watch the Macy's Thanksgiving Day Parade. Trip includes: round trip airfare to/from major airport closest to winner's residence and the New York City metropolitan area; two standard hotel rooms at a Hilton Garden Inn in New York City (double occupancy each); four (4) credentials to ride on the Radio City Rockettes bus to the Macy's Thanksgiving Day Parade with the Rockettes on November 26, 2009; four (4) tickets to the Radio City Christmas Spectacular; a meet and greet with the Radio City Rockettes; and $1,000 in the form of check to the winner which may be used as spending money. Approximate retail value of Grand Prize: $9,000. Any expenses not mentioned herein are the sole responsibility of the winner.
  2. Nine (9) First Prize winners will receive one (1) $100 Macy's Gift Card and one (1) Be My Guest gift certificate, valid for one night's stay in a standard room at a Hilton Garden Inn (does not include gratuities or incidental charges). Certificates expire within one year of award. Gift certificate restrictions apply. Approximate retail value of each First Prize: $215. Any expenses not mentioned herein are the sole responsibility of the winner.

TAXES ARE THE SOLE RESPONSIBILITY OF THE WINNERS.

8. GRAND PRIZE CONDITIONS: Airline, airport and hotel accommodations within Sponsor's sole discretion. Travel must be completed on dates specified by Sponsor, which will be before and after November 26, 2009. Sponsor reserves the right to provide ground transportation in lieu of air transportation. Travel itinerary at the discretion of Sponsor. Winner and guests must travel together on the same itinerary. Sponsor has no responsibility for cancellations, delays, or any other change by any company or person providing any element of the prize due to reasons beyond Sponsor's control, and is not responsible or liable for any expenses incurred as a consequence thereof. Sponsor is not responsible if the Rockette meet and greet or bus portion of the prize is cancelled. If such portion of the prize is cancelled, that portion of the prize is forfeited in its entirety and no substitution will be provided. Guests may be required to execute and return releases of liability and, except where prohibited, publicity releases. If any guest is a minor, the winner or one of the other guests must be such minor's parent or legal guardian and must execute and return the necessary releases on such minor's behalf. Macy's Thanksgiving Day Parade (the "Parade") and Radio City Christmas Spectacular (the "Show") are subject to cancellation. If the Parade and/or Show are cancelled, the remaining elements of the prize shall constitute full satisfaction of Sponsor's prize obligation to winner and no additional compensation will be awarded.

9. GRANT OF RIGHTS: All Entrants grant Sponsor the right to display their Submissions at the Site for purposes of this Contest. Finalists further grant Sponsor the right to display their Submissions on third party sites such as youtube.com, facebook.com, twitter.com and HiltonGardenInn.com for advertising and promotional purposes. Winners hereby grant Sponsor a royalty free license, without geographic or time limitation, to display his or her Submission for promotional or advertising relating purposes in any and all media. The use of the Submissions after the Contest is complete for advertising and promotional purposes may or may not include the Entrant's name and city and state of residency. Winners agree to sign any documents that may be necessary to affect the assignment of the licensing rights.

10. CONDITIONS OF PARTICIPATION:

  1. Conduct

    Sponsor reserves the right in its sole discretion, to modify, cancel, terminate, and/or suspend the Contest and to disqualify any Entrant that tampers with the entry process, violates these official rules, or acts in a disruptive or unsportsmanlike manner. Without limiting the foregoing, Sponsor may reject any Submission, if in Sponsor's sole judgment, the Entrant has been disqualified, has questionable eligibility or is otherwise ineligible to enter or participate. CAUTION: A PERSON WHO ATTEMPTS DELIBERATELY TO UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PENALTIES AND FINES; AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
  2. Incidents

    Without limiting the foregoing, Sponsor may modify, cancel, terminate, and/or suspend the Contest if, in Sponsor's sole opinion, an incident of any kind occurs to corrupt or impair the administration, security, integrity, fairness or play (as intended) of the Contest, including without limitation: (a) earthquake, flood, fire, storm or other natural disaster, act of God or ( b) labor controversy or threat thereof, civil disturbance or commotion, disruption of the public markets, war or armed conflict (whether or not officially declared).
  3. Releases and Affidavits

    As a condition of receiving a prize, potential Winners must complete and return an Affidavit of Eligibility, a Liability Release, and, except where prohibited, a Publicity Release, within five (5) calendar days of the date stated on the prize notice.
  4. Release

    By participating in this Contest all Entrants agree to release, indemnify and hold harmless the Sponsor and MSG from and against any liability, injury, death, loss or damages to Entrant or any person or entity, including without limitation damage to personal or real property, caused in whole or in part, directly or indirectly, by reason of their participation in this Contest (or related activities) or their acceptance, possession or use/misuse of a prize.
  5. Publicity

    Except where prohibited, Entrants hereby grant Sponsor and the right to use their names, likenesses, voices, opinions and biographical information for publicity, advertising, trade or promotional purposes.
  6. Entry Errors/Internet

    Sponsor is not responsible for lost, late, incomplete, damaged, stolen, invalid, unintelligible or misdirected information. Sponsor is not responsible for lost or late entries nor for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor or presenter on account of technical problems or traffic congestion on the Internet or at any Web site or any combination thereof. If for any reason the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest. Sponsor reserves the right to select winners from eligible entries received as of the termination date. Caution: Any attempt by a contestant to deliberately damage any Web site or undermine the legitimate operation of the game is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such contestant to the fullest extent of the law. If there is a dispute as to the identity of the Entrant, the prize will be awarded to the authorized account holder of the email address. The "authorized account holder" is defined as the natural person to whom the email address is assigned.

11. GOVERNING LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participants or Sponsor in connection with the Contest shall be governed by and construed in accordance with the internal laws of the state of New York, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state laws. Claims may not be resolved through any form of class action. Venue for all suits will be in federal or state courts located in New York, New York.

12. SEVERABILITY: If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.

13. WINNERS' LIST: A copy of the winners' list may be obtained by sending a written request to: D. Nelson 755 Crossover Lane, Memphis, TN 38117 postmarked between December 1 through December 31, 2009 and received by January 11, 2010.

14. SPONSOR: The Sponsor of this Contest is Hilton Hotels Corporation, 7930 Jones Branch Drive McLean, VA 22102.
